COMMENCEMENT OF DE-LISTING PROCEDURES AGAINST NASIONCOM HOLDINGS BERHAD FOR FAILURE TO SUBMIT FINANCIAL STATEMENTS
Bursa Malaysia Securities Berhad ("Bursa Securities") would like to announce that it has commenced de-listing procedures against NasionCom Holdings Berhad ("NSCOM" or "the Company") pursuant to Rule 9.26(6) of the Listing Requirements of Bursa Securities for Mesdaq Market ("MMLR").
Rule 9.26(6) of the MMLR states that if a listed company fails to issue the outstanding financial statements within 6 months from the expiry of the relevant timeframes, in addition to any enforcement action that Bursa Securities may take, de-listing procedures shall be commenced against such listed company.
NSCOM has failed to issue its annual audited accounts for financial year ended 31 December 2006 and quarterly report for the first quarter ended 31 March 2007 within the timeframes stipulated by Bursa Securities pursuant to Rules 9.24(b) and 9.22 of the MMLR and no further extension of time has been granted by Bursa Securities.
Bursa Securities has on 18 December 2007 served notice to show cause on NSCOM to make representations to Bursa Securities, within a period of 5 market days from the date of the receipt of the notice, as to why its securities should not be de-listed from the Official List of Bursa Securities. The de-listing procedures undertaken will be fair, objective and due process will be accorded to the Company prior to making a decision on whether to de-list its securities from the Official List of Bursa Securities.
Upon due consideration of the matter and the conclusion of the relevant due process accorded, Bursa Securities will decide whether to de-list the Company. Where a decision is made to de-list the Company, the Company will be notified of the same accordingly. Upon receipt of the notification of the decision by Bursa Securities to remove the securities of NSCOM from the Official List of Bursa Securities, NSCOM will be required to make an immediate announcement. Thereafter, the securities of the NSCOM will be removed from the Official List of Bursa Securities on a date specified by Bursa Securities.
