5 The Offers constitute a single consolidated offer for the purposes of achieving the merger of the businesses and undertakings of the Target Companies.
4 On 29 July 2011, the Company made simultaneous offers (“Offers”) to acquire the entire businesses and undertakings, including all assets and liabilities, of Jotech Holdings Berhad, AIC Corporation Berhad and AutoV Corporation Berhad (collectively known as “Target Companies”) (“Proposed Acquisitions”). The aggregate offer consideration of RM632,837,547 for the Proposed Acquisitions will be wholly satisfied by way of the issuance of 5,273,646,228 new ordinary shares of RM0.10 each in the Company.
